VENDOR SET-UP TIMES

Vendor set-up on Friday, September 17, 2010 (noon-10PM)

ALL VENDORS MUST BE SET-UP BY 8:00AM ON September 18, 2010

VENDORS MUST REMAIN OPEN DURING SHOW HOURS AND CANNOT BREAK DOWN UNTIL AFTER

AWARDS ON SUNDAY

Insurance certificate required naming Sandra Dee, Inc. as an additional insured - OR - add $50 to your payment to be included on our event policy.

SPACE AVAIALBE ON A FIRST COME FIRST SERVE BASIS

  1. Vendor agrees to bring tables, canopies, chairs and equipment needed for their exhibition space. Vendor agrees to display equipment and products that will conform to the limitations of the display space. Any requests for additional services, including power, pipes & drapes, tables & chairs must be made to Rab Show Productions and if they can be made available, the Vendor agrees to pay any additional costs for such services.
  2. The Vendor agrees to set up and break down booth at the times designated by the organizer and occupy the booth during regular show hours. Failure to do so may result in reassignment of the booth to another Vendor.
  3. The Vendor agrees not to sublet or assign all or part of the display space, nor permit individuals other than employees or representatives to use the facilities provided. The Vendor agrees not to exhibit products or literature that are not regularly sold or distributed by his/her company, except as may be necessary to demonstrate the applications of his/her products.
  4. The Vendor must confine their activities to the contracted space and conduct their activities in such a way that will not infringe on the rights of other Vendors or offend visitors at or in the show.
  5. The Vendor agrees to comply with local fire and safety regulations and furnish any permits as may be required by local authorities.
  6. The Vendor agrees to abide by set-up and removal time stated in the Vendor instructions to be provided. Vendor is liable for any damages caused to the contracted space and agrees to compensate the village of Lenox for such damages within five days after the close of the event.
  7. In the event the Vendor cancels any or all of the exhibit space contracted herein, the Vendor must do so in writing. A Vendor who cancels will be liable for liquidated damages equal to the amount of this Vendor Agreement. Liquidated damages are to compensate for the inability to replace canceling Vendors, promotion undertaken on behalf of the Vendor and other damages which cannot be accurately calculated.
  8. The Vendor agrees that Rab Show Productions, their agents and employees: (a) will not be responsible for any damages to or for the loss or destruction of the Vendors property, such loss, damage, destruction or injury being expressly waived by the Vendor, (b) will be exempt from or indemnified for any claims for injury to any of the Vendors representatives, agents or employees.
  9. The party’s sole and maximum liability arising out of their own negligent acts or omissions under this Agreement shall be for direct damages. The parties agrees to hold each other, their agents and employees harmless, and to reimburse same for any judgments, settlements, legal fees, costs or other expense to which it may be subject, for any injury, damage, loss or harm resulting or occurring to anyone including, but not limited to, visitors which may result directly or indirectly from caused by the acts, omissions, negligence or willful misconduct of a party, its employees or representatives.
  10. Rab Show Productions reserves the right to reject at any time, any exhibit which in its opinion is objectionable to the attendees or other Vendors. No liabilities or damages whatsoever against Rab Show Productions or any of its agents and employees shall be incurred because of such rejection
